Key Responsibilities:
* Ensure compliance with the Companies Act, 2013 and other applicable corporate regulations.
* Manage Board Meetings, Committee Meetings and Shareholder Meetings including agenda, minutes and resolutions.
* Handle statutory registers and filings with the Ministry of Corporate Affairs.
* Support fundraising activities, including documentation for investor transactions and share allotments.
* Assist in management of ESOPs / MSOPs and shareholder records
. * Maintain cap table updates and corporate records.
* Support secretarial due diligence for fundraising or strategic transactions.
* Work closely with legal, finance, investors and auditors on governance matters.
* Manage and support IPO-related compliance, documentation and coordination with regulatory authorities, intermediaries and advisors.
* Handle matters relating to Foreign Investments / FDI compliance, reporting and regulatory filings under FEMA and RBI guidelines.
* Support Mergers & Acquisitions transactions including due diligence,
documentation, approvals and post-transaction compliance activities.
Required Skills & Qualification:
* Qualified Company Secretary and member of Institute of Company
Secretaries of India.
* 3+ years of relevant experience in secretarial compliance.
* Experience in startups, fintech, or high-growth companies will be
preferred.
* Strong drafting and documentation skills
* Good understanding of corporate governance and MCA filings
* Detail-oriented with strong execution ability
* Ability to work in a fast-paced environment
