Job Overview:
We are looking for an experienced Manager Company Secretary with 59 years of post-qualification experience to independently manage end-to-end secretarial, corporate governance, regulatory, and compliance functions for a group company. The role will involve FEMA/RBI compliance, M&A, due diligence, corporate restructuring, and advisory to senior management.
Key Responsibilities:
Manage end-to-end Company Secretarial and Companies Act, 2013 compliances.
Handle Board, Committee and General Meetings, including notices, agendas, resolutions and minutes.
Manage MCA/ROC filings, statutory registers and corporate records.
Handle FEMA/RBI compliances including FDI, ODI, ECB, FLA and FIRMS/SMF filings.
Support and lead M&A, corporate restructuring, due diligence and strategic transactions.
Review and draft Shareholders Agreements, Share Subscription Agreements, JV Agreements, Board Resolutions and other corporate documents.
Coordinate with RBI, MCA, ROC, SEBI, auditors, legal advisors and external consultants.
Advise senior management and the Board on corporate governance, regulatory and compliance matters.
Monitor regulatory changes and ensure timely implementation of compliance requirements.
Manage and guide secretarial/compliance team members, wherever applicable.
Required Qualifications:
Qualified Company Secretary (ACS/FCS) from ICSI.
59 years of post-qualification experience.
Strong knowledge of Companies Act, MCA/ROC and Corporate Governance.
Hands-on experience in FEMA, RBI, FDI, ODI and ECB compliances.
Experience in M&A, due diligence and corporate restructuring.
Strong drafting and reviewing skills for SHA, SSA, JV and other corporate agreements.
Exposure to SEBI, group companies, subsidiaries, JVs or SPVs will be an added advantage.
Strong communication, stakeholder management, analytical and leadership skills.
